JOB TITLE: Assistant Company Secretary
LOCATION: Essex, London, Home working (flexible working available)
SALARY: Excellent salary and benefits

THE ROLE: Our client is looking for an experienced Assistant Company Secretary who will work closely with the executive team including the CEO and MDs to provide high quality board support which will include (but not be limited to);

• Providing the full range of corporate secretarial support to a range of UK regulated entities, boards and committees
• Providing corporate governance advice and support to the business
• Overseeing governance processes for the Corporate Secretariat team
• Management and development of other junior CoSec team members
• Preparation of dormant accounts
• Compliance with all statutory filings, ie accounts and confirmation statements
• Maintenance of company statutory registers
• Internal reports and compliance
• Assist General Counsel and Company Secretariat in managing annual governance schedules
• Act as the contact for PRA, FCA, and internal and external auditors
• Deputise for the General Counsel and Company Secretary and liaise with Partnership Board members and Non-Executive Advisers in relation to Board matters
• Being the Company Secretarial lead and being responsible for the preparation of the Governance sections of the Annual Report and Accounts
• Being the lead on Companies Act and Listing Rule requirements and monitoring developments and requirements
• Assisting with the annual renewal of Group insurance policies/liaising with brokers on insurance queries
• Reviewing the statutory accounts of Group, subsidiaries and joint ventures
• Data protection registrations
• Organising the Annual General Meeting
• Liaising with the Registrars and the Employment Benefit Trust
• Completing statutory filings/maintaining company secretarial records
• Stock Exchange filings
• Assisting with the grants of awards and options under the Group share incentive plans and advising on the plan rules


THE CANDIDATE: Ideal candidates will have previous experience working in a similar role, either as an Assistant Company Secretary or similar role and will have;

• ACIS/GradICSA status
• Significant prior experience in a similar role
• Strong working knowledge of governance principles with excellent organisational and interpersonal skills as you will be engaging with board members and key stakeholders
• Knowledge of company secretarial procedures and appropriate technical skills, including in relation to the interpretation of the Company Act 2006 and other relevant legislation
